RULES AND REGULATIONS






MORGAN COUNTY MARKETING DIVISION OF THE METROPOLITAN INDIANAPOLIS BOARD OF REALTORS






ADOPTED March 7, 1990










The purpose of this organization shall be to promote the real estate business, provide better service to the public, provide representation to various committees and groups of the Metropolitan Indianapolis Board of REALTORS and encourage cooperation among members of the Metropolitan Indianapolis Board of REALTORS.






I. NAME






The name of this organization shall be the Morgan County marketing Division of the Metropolitan Indianapolis Board of REALTORS. (In this document, “Division” shall mean this organization and “MIBOR” shall mean the Metropolitan Board of REALTORS.)






II. GOVERNING DOCUMENTS






The Division and its members shall conform to these Rules and Regulations, and the governing documents of the National Association of REALTORS, the Indiana Association of REALTORS and MIBOR, including but not limited to Constitution, Bylaws and Code of Ethics.






III. CHARACTER OF ORGANIZATION






A. The Division is not organized for pecuniary profit and shall have a perpetual existence.






B. The Division shall not impose any arbitrary numerical limitation or other inequitable limitation upon its membership.






IV. GOVERNING OFFICERS






A. The governing body of the Morgan County Marketing Division shall consist of a President, Vice-President and a combined Secretary/Treasurer.






B. The regular business of the Division shall be conducted by the governing officers. Matters other than routine business shall be considered by the governing officers and referred to the membership for action.






C. The duties of the governing officers shall be those normally associated with such officers.






D. The governing officers shall develop and offer such programs and services as are necessary to accomplish the objectives of the Division.






E. The President may appoint committees, subject to the approval of the governing officers, to provide the programs and services of the Division.






F. A vacancy in the office of President shall be filled by the Vice-President; other vacancies in the governing officers may be filled by the remaining governing officers.






V. ELECTION






A. Candidates for office shall be nominated and elected in the month






of November. Nominations may be made by a Nominating Committee consisting of the governing officers and two other appointed members. The floor shall be open for other nominations.






B. Those elected shall take office at the first meeting in January.






C. Voting shall be by ballot, a majority of votes cast being necessary for election. Blank ballots or those with incorrect number of names shall not be counted. If there is only one nominee for an office, it shall be in order for the motion instructing the secretary to cast a unanimous ballot for the nominee.






D. Each person elected shall serve for one year and may not succeed himself.






VI. REGULAR MEETINGS






A. Regular meetings of the Division shall be held on the first Wednesday of each month at 9:00 a.m. at the discretion of the governing officers.






VII. REPRESENTATION






A. The division shall provide representation, as voting ex-officer members, to various committees and groups of MIBOR as prescribed by MIBOR Bylaws and policies of the Board of Directors.






VIII. FEES






A. The Participation fee (to be paid with the application for membership) shall represent the cost of adding a member to the Division. Until amended, the Participation fee shall be $5.00 payable to MIBOR. Participation fee shall be waived for the year 1990.






B. Annual fees shall be based upon the cost of operating the business of the Division, recommended by the governing officers, voted upon by the membership and subject to the approval of the MIBOR Board of Directors. No local dues shall be assessed for 1990, the financial records of this Division shall be reviewed by July 1990 by the governing officers to determine if local dues are necessary and bring this matter before the membership for a vote.






IX. MEMBERSHIP






A. Membership shall be open to REALTORS and AFFILIATE members of the Metropolitan Indianapolis Board of REALTORS.






B. Voting privileges shall be granted to all members who meet the following criteria:






1. All members must be in good standing to participate in voting.






2. A member in good standing has a) submitted an application and paid the participation fee and b) paid the required fees.






3. Membership shall be terminated for failure to pay the required fees.






C. Only voting members may hold office in the Division, and Alternates and other members may serve on committees.






X. RULES OF ORDER






A. Other than as required by applicable governing documents, the most recent edition of Robert’s Rules of Order shall be the authority governing all meetings of the Division.






XI. AMENDMENTS






A. These rules and regulations can be amended as follows:






1. The proposed amendments are approved by the governing officers.






2. Notices of the proposed amendments are provided to all voting members at least two weeks prior to the time of voting.






3. The motion to amend is carried by a majority of the members voting.






4. Approved by the MIBOR Board of Directors.
